Terms of Service Policy
By using our Services, you confirm that you accept our fees as displayed upfront on our website, agree to comply with our Acceptable Use Policy, and will keep your account and login details secure. You acknowledge that any activity carried out through your account will be treated as authorized by you. We may suspend, restrict, or terminate access to the Services if we suspect fraud, security risks, prohibited activities, or legal violations. If you wish to stop using the Services or close your account, you may contact our customer support team. Complaints about our Services should be raised through our Customer Complaint Procedure.
We are committed to complying with applicable data protection, financial services, and anti-money laundering laws to ensure the secure and lawful use of our Services.

About this Agreement
- This Terms of Services (“Agreement”) is a legally binding contract between you (“you,” “your,” or “Customer”) and Walcy Inc. dba Remi123 (“we,” “our,” or “us”). It sets out the terms and conditions on which we provide our remittance and related services (“Services”) to you. References to “you” include individual consumers only.
- This Agreement incorporates by reference the following additional documents (together, the “Additional Documents”), which also apply to your use of our Services: (a) Acceptable Use Policy, which sets out permitted and prohibited activities. (b) Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to such processing and confirm that all information you provide is accurate and up to date.
- By using our Services, you confirm that you accept this Agreement (in its most current form as posted on our Website or App) and agree to be bound by it. If you do not agree, you must not use our Services
- If there is any conflict between this Agreement, the Additional Documents, or other information provided on our Website, App, or through an authorized partner, this Agreement will take priority.
- Some Services may be subject to additional terms and conditions, which will be presented to you before you use those Services.
- If you only use our Services occasionally (for example, to make a one-time transfer without opening a registered account), you agree to this Agreement each time you use the Services. If you open and maintain a registered account with us, this Agreement applies to that account for as long as it remains open
- We may update or amend this Agreement from time to time as explained in the section titled Our Right to Make Changes. Any updates will take effect once posted on our Website or App or from the date notified to you.
- The most current version of this Agreement is always available on our Website. You may download a copy at any time or request one from our Customer Support team.

Definitions
In these Terms of Service, the following words and expressions have the meanings set out below:- Account means the electronic profile you create with Remit123 to access and use our Services.
- Beneficiary means the person who is designated by you to receive funds through our Services
- Business Day means any day other than a Saturday, Sunday, or a statutory holiday.
- Chargeback means a reversal initiated by a sender’s bank or payment provider, for example, where a payment is disputed or fails due to insufficient funds.
- Custodial Account means an account or arrangement used by Remit123 to temporarily hold Customer Funds prior to settlement or onward transmission to a Recipient or Payment Partner.
- Customer Account means the registered account you hold with us to access and use the Services.
- Customer Funds means funds received from you to fund a Transaction that may be held temporarily by Remit123 in a Custodial Account.
- Customer, you or your means the person who registers for and uses the Services provided by Remit123.
- Custody Partner means the licensed bank, trust company, or payment institution that holds Customer Funds on Remit123’s behalf in a Custodial Account.
- Exchange Rate means the rate of currency conversion applied to a Transaction, as displayed to you before you authorize the Transaction.
- Fees means the charges and costs applicable to your use of the Services, as disclosed on our website or app before you confirm a transaction.
- Holding Window means the maximum period Customer Funds may be held in a Custodial Account before being swept or delivered to the Recipient Recipient, as disclosed at the time of the Transaction.
- Intellectual Property means all rights in trademarks, logos, patents, copyrights, designs, databases, trade secrets, domain names, and any similar rights worldwide
- Legal Hold means a temporary suspension of sweep or transfer of Customer Funds required by law, regulation, court order, or an internal investigation.
- Money Transfer means a transfer of funds initiated by you and sent through our Services to a designated recipient.
- Prohibited Activities means the types of businesses, transactions, or uses of our Services that are not permitted, as outlined in our Acceptable Use Policy.
- Remittance or Money Transfer means the service that allows you to send money through Remit123 to a designated Beneficiary.
- Remit123”, "we " , "us ", or “our” means Remit123 Inc., a corporation incorporated under the laws of Canada.
- Services means the money transfer, remittance, and related services provided by Remit123 through its website, mobile app, or other authorized channels.
- Transaction means a request made by you to transfer funds using our Services.

The service
The Service allows users to send international money transfers from Canada to countries supported by Remit123. A “Sender” is a person who uses the Service to send money. A “Recipient” is the person who receives money through the Service. A "Transaction" refers to an order to send money through the Service. The "Transaction Amount" is the amount in Canadian dollars that the Sender provides for transmittal to the Recipient. The "Payout Amount" is the amount paid out to the Recipient.

Eligibility for the service

Individuals
You must be at least eighteen (18) years of age, or the age of majority in your province or territory of residence (whichever is higher), and have the legal capacity to enter into a binding agreement in order to use the Services as a Sender. You shall use the Services only for personal, individual purposes. Remit123 provides services only to individual consumers. We do not currently offer services to businesses, companies, or other legal entities.

Prohibited Persons and Restricted Use
We will refuse or block Transactions for individuals, entities, or jurisdictions subject to economic or trade sanctions, watchlists, or blacklists published by applicable authorities, including without limitation the United Nations Security Council, the Office of Foreign Assets Control (OFAC), the European Union, Her Majesty’s Treasury (UK), the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), or any other competent governmental or regulatory body.
Remit123 also prohibits the use of its Services by persons or entities:
- located in, or attempting to send money to or from, a jurisdiction where we do not provide Services;
- involved in or suspected of fraud, money laundering, terrorist financing, or other unlawful activity; or
- who fail to meet our customer due-diligence or risk-assessment standards.
Where legally required or operationally necessary, we may screen Transactions and customer information against such sanctions and compliance databases prior to acceptance, during processing, and on an ongoing basis.

Offer and Acceptance
Submitting a Transaction through the Service constitutes an offer by you to use the Service. Remit123 may accept or reject any Transaction in its sole discretion and is under no obligation to provide the Services in all cases.

Getting Started and Identity Verification

Registration
To start using our Services, you must create a profile and provide accurate, complete, and truthful information about yourself as requested. You must promptly update your information whenever it changes. Remit123 is not responsible for any loss arising from your failure to keep this information current.

Customer Identification Program
To comply with government regulations, we reserve the right to obtain, verify, and record information about you before providing Services. This may include personal identifying details such as your full legal name, residential address, date of birth, occupation, and government-issued identification.

Verification and Checks
Remit123 applies a risk-based, tiered verification framework as required under FINTRAC and other applicable laws:

Standard Verification (Tier 1)
- Purpose: Suitable for new users with limited transaction activity.
- Requirements: Verification of legal name, date of birth, address, phone number, Proof of address, source-of-funds, government-issued photo ID, self-assessments on PEP, Liveliness check, and screening against sanctions lists.
- Sample Limits: Up to CAD 10,000 per transaction/aggregate per day.
- Consequence: Transactions above these limits or with elevated risk indicators will undergo Enhanced Due Diligence (EDD) before processing.

Enhanced Verification/Enhanced Due Diligence (EDD / Tier 3)
- Purpose: Applied where higher-risk factors exist (e.g., politically exposed persons, complex ownership, or high-value transfers).
- Requirements: Verification of family details, source of wealth, business justification, relationship to recipient, and approval by Remit123’s Compliance Officer.
- Sample Limits: Above CAD 10,000 per transaction; aggregate limits subject to case-by-case compliance review.
- Consequence: Processing may be delayed or declined pending additional review, supporting documentation, or regulatory clearance.

Standard Verification (Tier 1)

Ongoing Monitoring and Government Disclosures
You acknowledge and agree that Remit123 will monitor your use of the Services on an ongoing basis to comply with Canadian anti-money laundering and anti-terrorist financing regulations. We may share information about you and your Transactions with government authorities, regulators, and law enforcement agencies as permitted or required by law.

Refusal, Suspension, or Termination
Remit123 reserves the right, in its sole discretion, to refuse, suspend, or terminate access to the Services if:
- the information you provide cannot be verified or does not meet our risk assessment criteria;
- you fail to respond to our information or verification requests; or
- we suspect that you may be involved in fraudulent, illegal, or restricted activities.

Additional Features
From time to time, Remit123 may offer additional account features or integrations (for example, connections with third-party financial or accounting software). We may modify or discontinue such features at any time without prior notice.

Accounts, Passwords and Security

Responsibility for Your Account
You are solely responsible for maintaining the confidentiality and security of your Remit123 account, login credentials, and any authentication methods (including passwords, PINs, and two-factor authentication codes). You are also responsible for all activities that occur under your account, whether or not authorized by you.

Safe Use Practices
When using our Services, you should at a minimum:
- use strong, unique passwords and change them regularly;
- never share your login details or authentication credentials with anyone;
- keep your email account secure, as it may be used to reset your password;
- update your devices, browsers, and apps to the latest versions and install security patches;
- use reputable anti-virus or anti-malware software where applicable;
- only access your account via our official website or mobile applications; and
- immediately contact Customer Support if you suspect your account has been compromised.

Prohibited Actions
You must not:
- allow another person to access or operate your Remit123 account;
- share, store, or otherwise expose your login details in a way that may compromise security;
- bypass or disable any security features of the Services; or
- use tools or methods intended to mask your true identity when accessing the Services.

Notice of Compromise
If you suspect that your account, login credentials, or security details have been lost, stolen, misused, or otherwise compromised, you must notify Remit123 immediately. Delayed reporting may affect the security of your account and could result in financial loss for which you shall be responsible. You must also provide reasonable assistance to us in investigating and addressing any such incident.

Security of Information
Although Remit123 takes reasonable measures to protect your personal and financial information, no data transmission or storage system can be guaranteed to be 100% secure. In the event of a security breach that poses a real risk of significant harm to you, Remit123 will notify you as soon as reasonably possible in accordance with applicable Canadian privacy laws.
In the event of a personal-data breach, and where required by applicable law, Remit123 will notify the relevant supervisory authority within 72 hours of becoming aware of the breach and will notify affected individuals without undue delay when required.

Number of Accounts
You shall only hold one (1) Remit123 account unless we provide prior written consent. If duplicate accounts are detected, Remit123 may close or merge the accounts without notice.

Data Subject Rights (DSRs) and Response Timeframes
You may exercise your rights under applicable data-protection laws, including access, correction, deletion, restriction, or portability of your personal data, by contacting us using the details provided in Section 24 (Contact Information).
We acknowledge all data-subject requests (DSRs) within five (5) business days of receipt and provide a substantive response within thirty (30) days. Where a request is complex or voluminous, we may extend this period by up to sixty (60) days, in which case we will notify you of the extension and the reasons for the delay.

Responsibility for Your Account

Closing Your Remit123 Account or Stopping Use of the Services

You may stop using the Services and/or close your Remit123 Account at any time. This Agreement continues until your Remit123 Account is formally terminated. You may close your Remit123 Account by following the process described on our Website, App, or by contacting our Customer Support team.

Remit123 is not a bank or wallet service, and we do not allow you to store funds in your Account. Any funds associated with a pending transaction must be completed or canceled before closure.

If you attempt to close your Account while a transfer is in progress, Remit123 may delay closure until the transaction is completed, canceled, or reversed in accordance with applicable law and compliance requirements.

You shall not close your Remit123 Account or delete your profile in order to evade an investigation (by Remit123 or any law enforcement/regulatory agency), or if you have a pending transaction, open dispute, or claim.

Remit123 may prevent or delay Account closure if doing so would compromise legal, regulatory, or anti-money-laundering obligations, or if unresolved disputes or chargebacks exist.

We may suspend or delay account closure, transfer, or refund if your Account or any Transaction is subject to a Legal Hold, investigation, or regulatory or law enforcement request.

We will notify you of any such hold unless prohibited by law or regulatory instruction. During the hold period, access to your Account may be restricted, and any affected funds may remain in a Custodial Account or be held by a Custody Partner pending release.

You remain responsible for all obligations related to your Remit123 Account and your use of the Services even after closure.

Remit123 may terminate this Agreement and close your Account (including associated Services) by giving you two (2) months’ prior notice, where required by law.

Upon termination of this Agreement for any reason, all rights granted to you under it shall immediately cease, and you must delete or remove the App from your devices.

Fees and Taxes

Service Fees
You agree to pay all fees and charges applicable to your use of the Services. Our fees are disclosed to you before you confirm a Transaction and may vary depending on the amount, currency, destination country, and delivery method.

Third-Party Charges
In addition to our fees, your bank, the Recipient’s bank, or other service providers (including payout agents) may charge separate fees or apply additional costs such as foreign exchange conversion charges. Remit123 is not responsible for such third-party charges.

Disclosure of Fees
A clear breakdown of applicable fees and exchange rates will be provided to you before you authorize a Transaction. By proceeding, you agree to these charges.

Deduction of Fees
You authorize us to deduct its fees and any applicable charges directly from the funds you provide for a Transaction. We may also deduct from your Account, or from any future funds you send us, any reversal amounts, refunds, chargebacks, adjustments, or other amounts you owe us under these Terms. If your Account does not contain sufficient funds to cover such amounts, we may refuse to process pending or future Transactions, offset such amounts against future funds you provide, and/or suspend or restrict your access to the Services until the balance is settled.

Taxes
You are responsible for reporting and paying any applicable taxes arising from your use of the Services and it is your responsibility to collect, report and pay the correct tax to the appropriate tax authority.

Changes to Fees
We may update our fee schedule from time to time. Any changes will be published on our website and will apply only to Transactions initiated after the effective date of such changes.

Information About Your Account

Nature of the Account
Your Remit123 Account is an electronic profile used to initiate, manage, and track transactions. Remit123 is not a bank and does not provide deposit accounts for longterm safekeeping or traditional banking services.

Custodial Holding
For operational, settlement, verification, or regulatory reasons, Remit123 may, on occasion, hold Customer Funds on a temporary custodial basis prior to onward transmission to a Recipient or settlement with Payment Partners. Customer Funds held by Remit123 are used solely to facilitate processing of a Transaction and are not intended as long-term deposits.

Segregation and Safeguarding
Customer Funds held by Remit123 will be segregated from Remit123’s corporate operating funds and maintained in Custodial Accounts with one or more Custody Partners. Remit123 will not commingle Customer Funds with its operating accounts and will maintain appropriate internal controls to ensure segregation and traceability.

Holding Window
Customer Funds will be held only for the minimum period necessary to complete the Transaction and will be swept or delivered to the Recipient or Payment Partner without undue delay. If settlement or delivery is delayed for reasons such as compliance review, dispute resolution, Legal Hold, or operational exigencies, Remit123 will notify you of the delay and its cause where lawfully permitted.

Interest, Fees and Insurance
Unless expressly agreed in writing, no interest will be paid on Customer Funds held in Custodial Accounts, as such funds are maintained solely for the purpose of facilitating Transactions and not as deposits.

Legal Holds and Investigations
Remit123 may place a Legal Hold on Customer Funds where required by law, regulation, court order, or in connection with a bona fide investigation of suspected fraud or financial crime. A Legal Hold may delay or prevent sweep or delivery of funds. Remit123 will notify you of any such hold unless prohibited by law or regulatory instruction.

Insolvency
In the event of Remit123’s insolvency, Customer Funds held in properly segregated Custodial Accounts with Custody Partners will be subject to the terms of the applicable custody arrangements and governing law. Segregated Customer Funds are intended not to form part of Remit123’s general creditor estate; however, final treatment will depend on the specific custody structure and applicable insolvency laws.

Reconciliation and Audit
Remit123 will reconcile all Custodial Accounts at least daily and retain reconciliation records and supporting documentation in accordance with our record-retention policy and regulatory requirements. You may request evidence of settlement for a Transaction in accordance with our Privacy Policy and applicable law.

Operational Controls for Custodial Holding
Remit123 maintains robust operational controls to protect Customer Funds and ensure the integrity of custodial operations. These controls include:
- Daily reconciliation of all Custodial Accounts;
- Segregation of Customer Funds from corporate operating funds;
- Comprehensive audit trails for all sweep and settlement activities;
- Periodic third-party audits of custody and reconciliation processes;
- Contractual audit and inspection rights with Custody Partners and Payment Service Providers;
- Automated Legal Hold workflows to suspend fund movement where required by law or investigation;
- Monitoring and alerting for failed sweeps or reconciliation mismatches; and
- Dual-operator approval and multi-factor authentication (MFA) for all high-risk or manual fund transfers.

Nature of the Account

Reversals and Chargebacks
-
Funds added to or received into your Account may be subject to reversal or chargeback. This means that the funds may not be finally credited to your Account or available for your transaction if they are reversed by us, the sender, or the relevant payment provider.

When a reversal or chargeback may occur. You may be liable for, and/or have funds reversed or charged back, including (without limitation) where we reasonably believe that:
- funds were sent to you in error;
- the transaction was unauthorized, fraudulent, or improperly induced;
- the funds were received in connection with activities that violate law, this Agreement, our Acceptable Use Policy, or any other agreement between you and us;
- the sender or payment provider reverses the transaction for any reason; or
- your Account was credited in error and/or you are not lawfully entitled to retain the funds.

If funds are reversed by a sender or payment provider, you agree that we may deduct or recover the relevant amount, plus applicable fees, directly from your Account. If your balance in the relevant currency is insufficient, we may convert funds from another currency balance at our then-applicable exchange rate, or set off the amount against future transactions. If this results in a negative balance, you will be immediately liable to us for the full amount of the negative balance plus any associated losses or costs.

If you receive a payment funded by debit or credit card and a chargeback is initiated with the card issuer, we may apply a chargeback fee in addition to reversing the funds.

Maintaining Your Remit123 Account

Transaction History
Your Remit123 Account provides an online transaction history showing your balance, funds received, sent, or withdrawn, applicable fees, and exchange rates. This record is updated in real time and is the primary method by which we provide you with information about your account activity.

Account Statements
You may request an account statement at any time by contacting our Customer Support team. You may also view and download statements by logging into your Remit123 Account. We may provide additional display options to allow you to filter or organize your transactions, but you remain responsible for reviewing your complete transaction history.

Obligation to Review Transactions
You must check your Remit123 Account regularly and notify Customer Support immediately if you do not recognize a transaction or believe a payment was made in error. If you fail to notify us promptly, you shall be held liable for losses. Any claims regarding unauthorized or incorrectly executed transactions must be reported to us as soon as possible and, in any case, no later than thirteen (13) months from the transaction date.

Recordkeeping and Retention
Remit123 retains customer identification, transaction, and compliance records for a minimum of seven (7) years from the date of the Transaction or the end of the business relationship, whichever is later.

Information required
To set up a Money Transfer, you must provide us with accurate information about your recipient, including their full legal name, bank account details (such as routing number, institution number, and account number for Canadian accounts, or IBAN/SWIFT for international accounts), or such other payment details as required in the receiving country. You must also specify the amount and currency to be sent.

Authentication
You must log in to your Remit123 profile using your secure credentials (such as passwords, codes, or biometric verification). Use of your credentials will be treated as your consent and authorization for us to process a Money Transfer.

Transfer limits
We may set limits on the amount you can send per transfer, per day, or per month, in line with our risk management, regulatory obligations, and verification status.

Paying for Your Money Transfer

Funding methods
You may fund your Money Transfer using available methods (e.g., bank transfer, debit card, credit card, or account balance if available). The availability of methods depends on your location, the receiving country, and our compliance requirements.

Payment instruments
Any payment method used (e.g., card, bank account) must be in your name. By providing payment details, you confirm that you are authorized to use that instrument and that it is in good standing.

Receipt of funds
We will only process your Money Transfer once we have received cleared funds. We are not responsible for delays caused by your bank or payment provider in sending us funds. If you send funds before confirming your order, they may be returned or held in your Remit123 account until you complete your instructions.

Card payments
If you pay using debit or credit card, you authorize us to debit your card for the transfer amount, applicable fees, and charges. You also authorize us to make necessary adjustments in case of reversals, refunds, or corrections.

Processing Your Money Transfer

Completion timeline
Once we receive your cleared funds, we will process and forward your Money Transfer. Estimated delivery times will be displayed before you confirm your transaction.

Exchange rates
The exchange rate applied to your Money Transfer will be shown to you before you confirm your order. Where a guaranteed exchange rate period is offered, it applies only if your funds are received within the specified timeframe. If not, we may apply the prevailing rate at the time funds are received.

Delays
We may delay or suspend processing where:
- additional verification or due diligence is required under anti-money laundering or anti-fraud laws;
- payment instruments are subject to reversal or chargeback;
- technical or banking delays occur outside our control.

Refusals
We may refuse a Money Transfer if it violates law, our compliance obligations, this Agreement, or our Acceptable Use Policy. Where legally permitted, we will notify you of the refusal and how to correct errors.

Irrevocability
Once funds have been converted and released to the recipient’s bank or payment provider, the Money Transfer is final and cannot be cancelled or reversed, except as required by law.

Customer responsibility for information
You are solely responsible for the accuracy of recipient information you provide. If incorrect information is provided, we are not responsible for funds sent to the wrong account. We may, but are not obligated to, assist in recovery.

Upon completing a Money Transfer, we will provide you with a receipt or confirmation, including the transaction number, fees, exchange rate, and estimated delivery timeframe.

Intellectual Property Rights

Ownership of Rights
All rights, title, and interest in and to our website, mobile applications, APIs, software, content, data, materials, graphics, logos, trademarks, trade names, and any other intellectual property made available through our Services (collectively, the “Remit123 Intellectual Property”) are owned by Walcy Inc. dba Remit123 and its affiliates or licensors. The Remit123 Intellectual Property is protected by copyright, trademark, and other intellectual property laws.

Your Limited License
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Remit123 Intellectual Property solely for your personal, non-commercial use in connection with our Services. This license does not give you any ownership rights in the Remit123 Intellectual Property.

Restrictions on Use
Unless you have received our prior written consent, you shall not, and shall not attempt to:
- copy, reproduce, distribute, modify, display, or create derivative works of any Remit123 Intellectual Property;
- use the Remit123 Intellectual Property for any commercial purpose;
- reverse engineer, decompile, or attempt to extract source code from our software or services;
- remove or alter any copyright, trademark, or proprietary notices;
- use any automated tools (such as robots, spiders, or scrapers) to access or collect information from our Services; or
- use our trademarks, logos, or trade dress in a way that may cause confusion or imply endorsement.

Trademarks
“Remit123” and all related names, logos, product and service names, designs, and slogans are trademarks of Remit123 or its affiliates. You shall not use such marks without our prior written consent. Other names, logos, and materials appearing in our Services may be trademarks of their respective owners.

Customer Feedback
If you provide us with any suggestions, feedback, reviews, or input (“Customer Input”), you agree that Remit123 and its affiliates will own all rights to such Customer Input and may use it without restriction, including for marketing, product improvement, or business purposes, without any obligation to compensate you.

Ownership of Rights

Disclaimer of Warranties
We make reasonable efforts to ensure that transactions are processed in a timely manner, but we do not represent, warrant, or guarantee the time required to complete processing, as completion depends on many factors outside our control.
Except as expressly provided in this Agreement, the Services are provided on an “as is” and “as available” basis. We make no representations, warranties, or conditions of any kind, whether express, implied, or statutory, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, title, or non-infringement.
Some provinces and territories do not allow the exclusion of implied warranties or conditions, so the above limitations may not fully apply to you. This Agreement gives you specific legal rights, and you may also have other rights that vary by province or territory.

Indemnity
You agree to indemnify and hold harmless Remit123, its affiliates, service providers, and their respective directors, officers, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of:
- your use of the Services;
- your breach of this Agreement or applicable law; or
- your violation of the rights of a third party.

Limitation of Liability

No Indirect Damages
Remit123 and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, business, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Matters Beyond Our Control
We will not be liable for delays, interruptions, service failures, or losses arising from events beyond our reasonable control, including failures of telecommunications, internet, financial institutions, payment systems, or other third-party service providers.

Unlawful Limitations Excluded
We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or where otherwise prohibited by applicable Canadian law.

Our Right to Make Changes

We may amend this Agreement by providing you with at least thirty (30) days’ prior notice, unless a longer notice period is required by law. Notice will be given either by email, through our App, or on our Website. If you do not agree to the changes, you may terminate this Agreement by closing your Remit123 Account before the effective date of the change. If you continue to use our Services after the effective date, you will be deemed to have accepted the changes.

Notwithstanding section 19.1, certain changes may take effect immediately without prior notice where:
- the change is more favorable to you;
- the change is required by law or regulation;
- the change relates to the addition of new services or features; or
- the change does not reduce your rights or increase your obligations.

Complaints

If your complaint cannot be resolved to your satisfaction, you may be entitled to escalate it to an independent dispute resolution body in accordance with Canadian law.

General Terms

No Third-Party Rights
This Agreement is between you and Walcy Inc dba Remit123. No third party shall have any rights to enforce any of its terms.

Assignment
You shall not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign or transfer this Agreement, in whole or in part, at any time without your consent, provided that such assignment does not affect your rights under applicable law.

Severability
If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Enforcement
Our failure or delay in enforcing any right or provision under this Agreement shall not constitute a waiver of that right or provision.

Entire Agreement
This Agreement constitutes the entire agreement between you and Remit123 regarding the Services and supersedes any prior agreements, whether written or oral.

Force Majeure
We are not responsible for any failure or delay in performing our obligations under this Agreement where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, government action, labor disputes, power or internet failures, or civil unrest.

No Third-Party Rights

Governing Law and Jurisdiction
This Agreement and any disputes arising from or relating to it will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree that the courts of Ontario, sitting in the City of Mississauga, shall have exclusive jurisdiction over any such disputes, unless applicable law requires otherwise.

Electronic Communications

By using our Services, you consent to receive all communications from us electronically, including this Agreement, notices, disclosures, records of transactions, and any amendments. Such communications may be sent by email, through our App, or via our Website.

You may withdraw your consent to receive electronic communications at any time by notifying us in writing. However, if you withdraw consent, we may be unable to continue providing Services to you.
